Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a contract between you and Vitaliti World, LLC (“Vitaliti,” “we,” “us,” or “our”) for use of Ambitio at useambitio.comand related sites, apps, and services (the “Service”). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Who may use Ambitio

You must be at least 18 years old and able to form a binding contract. If you use Ambitio on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.

3. The Service

Ambitio is software that helps founders and teams set strategy, goals, and targets, and run a review cadence, including optional agent-assisted drafting. Features may change, especially during private alpha. We may add, modify, or discontinue parts of the Service with or without notice.

4. Private alpha

Ambitio is offered as a private alpha. The Service may be incomplete, contain defects, lose data, or be unavailable. Alpha access may be invitation-only, rate-limited, or revoked. You use the alpha at your own risk and should keep independent backups of critical business information.

5. Accounts

You are responsible for your account credentials and for activity under your account. Provide accurate information and notify us promptly at hello@useambitio.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or create risk for the Service or other users.

6. Your content

You retain ownership of content you submit (strategy answers, goals, targets, notes, uploads, and similar) (“Your Content”). You grant Vitaliti a worldwide, non-exclusive license to host, process, transmit, and display Your Content solely to operate and improve the Service, including sending relevant context to AI providers as described in the Privacy Policy. You represent that you have the rights needed to submit Your Content and that it does not violate law or third-party rights.

7. AI outputs

Agent suggestions are assistive only. They are not legal, financial, tax, medical, or investment advice, and they may be inaccurate or incomplete. You are solely responsible for decisions you make using Ambitio and for reviewing any AI-generated text before relying on it in your business.

8. Acceptable use

You agree not to:

• Break the law or infringe others' rights
• Probe, scan, or attack the Service, or bypass rate limits or access controls
• Reverse engineer the Service except where applicable law forbids that restriction
• Upload malware, scrape the Service at scale, or use it to send spam
• Misrepresent your identity or abuse invitations or shared access
• Use the Service to process data you are not legally allowed to process

9. Our intellectual property

Ambitio, including software, design, trademarks, and documentation, is owned by Vitaliti World, LLC or its licensors. These Terms do not transfer ownership to you. You may not copy, modify, or redistribute our materials except as allowed by the Service's normal use or with our prior written consent.

10. Third-party services

The Service may rely on third parties (hosting, authentication email, OAuth providers, analytics, AI models). Their terms and privacy practices govern your use of those services. We are not responsible for third-party outages or policies outside our control.

11. Fees

During private alpha, access may be free. If we introduce paid plans, we will describe pricing before charging you. Taxes may apply. Unless required by law, alpha fees (if any) are non-refundable.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITALITI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITALITI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

14. Indemnity

You will defend and indemnify Vitaliti against claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your breach of these Terms, to the extent permitted by law.

15. Termination

You may stop using the Service at any time. We may suspend or end access immediately if you violate these Terms, if required by law, or if we discontinue the Service. Provisions that by nature should survive (including ownership, disclaimers, liability limits, and indemnity) survive termination.

16. Changes to these Terms

We may update these Terms by posting a revised version with a new effective date. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.

17. Governing law

These Terms are governed by the laws of the United States and the state in which Vitaliti World, LLC is organized, without regard to conflict-of-law rules. Courts in that state will have exclusive jurisdiction, except where applicable law requires otherwise for consumers.

18. Miscellaneous

These Terms are the entire agreement between you and Vitaliti regarding the Service and supersede prior agreements on the same subject. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
